Independent business
You operate an independent business, not as an employee, partner, representative, or agent of Smarter Service Inc. You control your methods, staffing, tools, schedule, and job acceptance.
Licensing, permits and code
Each time you accept or perform work, you represent and warrant that every licence, trade ticket, permit, certification, inspection, and code requirement applicable to that work and jurisdiction is current, valid, sufficient, and in good standing.
No qualifications, no work
You must not bid on, accept, schedule, attend, commence, or perform any work unless every qualification, trade ticket, licence, permit, certification, insurance policy, and workers' compensation clearance required for that work is current, valid, sufficient, and applicable. Platform access, account activation, or receipt of a job opportunity is not authorization to work without those requirements.
Workmanship and site safety
You are solely responsible for safe, professional workmanship; worker and helper supervision; protection of the customer site; cleanup; and correcting deficiencies or callbacks.
Insurance, taxes and workers
You must maintain legally required and contractually promised insurance and workers' compensation coverage. You must immediately report any expiry, lapse, cancellation, suspension, restriction, material coverage change, or claim affecting your eligibility, and stop accepting or performing affected work until corrected. You remain responsible for payroll, taxes, remittances, subcontractors, and business expenses.
Assumption of risk
You knowingly and voluntarily assume all risk, responsibility, cost, and liability arising from working or attempting to work without current and sufficient qualifications or coverage, including injury, death, property damage, denied or uninsured claims, fines, penalties, remediation, defence costs, and third-party claims. You acknowledge that Smarter Service does not guarantee your eligibility or the response of any insurer or issuing authority.
Damage, warranties and customer obligations
You are responsible for property damage, personal injury, representations, warranties, service commitments, and obligations arising from your agreement with the customer.
Marketplace role and indemnity
Smarter Service Inc. provides marketplace, dispatch, communication, and payment technology. It does not perform, supervise, inspect, direct, or warrant your work. To the fullest extent permitted by law, you agree to defend, indemnify, and hold Smarter Service Inc. and its officers, employees, and affiliates harmless from claims, losses, fines, liens, damages, costs, and expenses arising from your services, personnel, breach, negligence, or legal non-compliance.
Limits required by law
Nothing in this agreement excludes a responsibility that cannot lawfully be excluded. The complete Terms govern conflicts and should be reviewed with your own legal and insurance advisors.
